1. Overview
These Terms of Service (“Terms”) govern your purchase and use of the GlobX Ltd Annual Subscription (“Subscription”), which provides access to our online networking and collaboration platform (“Platform”).
By purchasing or using the Subscription, you agree to these Terms, our Privacy Policy, and (Payment Provider)’s Buyer Terms and Conditions.
2. Merchant of Record & Payments
• All payments for the Subscription are processed securely by (Payment Provider), our authorized reseller and Merchant of Record.
• (Payment Provider) handles billing, payment processing, invoicing, and applicable tax collection (e.g., VAT, GST, sales tax).
• Your purchase contract is formed with (Payment Provider), but the Subscription is supplied by GlobX Ltd.
• (Payment Provider) will appear on your card or bank statement.

3. Subscription Access and Delivery
• Once your payment is completed, you’ll receive digital access to the Platform via your registered account.
• The Subscription grants access to software-based features including networking tools, messaging, online event access, and other digital resources provided within the Platform.
• No physical goods are shipped.
• Access begins immediately upon payment confirmation.
4. Subscription Term and Renewal
• The Subscription is offered as an annual digital subscription.
• Your Subscription will automatically renew each year at the then-current rate, unless you cancel before the renewal date.
• You can manage or cancel your renewal at any time via your (Payment Provider) customer portal or by contacting (Payment Provider) support.
• Cancellation stops future renewals but does not refund or shorten the current paid term.
5. Pricing and Taxes
• Prices are shown in British Pounds and may include or exclude applicable VAT/GST depending on your billing country.
• (Payment Provider) automatically calculates and collects taxes where required by law.
6. Refunds and Right of Withdrawal
• Since the Subscription provides immediate access to digital content and services, your right of withdrawal is 14-day cooling-off period under EU/UK law may be waived once access begins.
• Refunds are only provided in accordance with our Refund Policy and (Payment Provider)’s refund processes.
• If you believe you are entitled to a refund, please contact (Payment Provider) via emil with your order number.
7. Acceptable Use
You agree to use the Platform lawfully and respectfully. You may not:
• Share your login credentials or allow others to access your account;
• Post or share illegal, abusive, or infringing content;
• Attempt to reverse engineer, copy, or resell the Platform or its content;
• Engage in behaviour that disrupts the Platform or harms other users.
GlobX Ltd reserves the right to suspend or terminate accounts for violations of these Terms or our Acceptable Use Policy.
8. Account Termination
You may terminate your Subscription at any time. Termination will prevent renewal but does not entitle you to a refund for the active period.
GlobX Ltd may terminate access for breach of these Terms, misuse, or legal reasons.
9. Intellectual Property
All materials, content, and software within the Platform are owned or licensed by GlobX Ltd. You are granted a limited, non-transferable, non-exclusive right to access and use the Platform for personal and professional networking purposes.
10. Liability and Disclaimers
The Platform and Subscription are provided “as is”. To the maximum extent permitted by law:
• GlobX Ltd disclaims all warranties, express or implied;
• We are not liable for indirect or consequential damages;
• Our total liability for any claim shall not exceed the amount paid for your current Subscription period.
11. Privacy and Data Protection
GlobX Ltd complies with applicable data protection laws, including GDPR and UK Data Protection Act.

12. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
Any disputes will be handled exclusively in the courts of England and Wales.
13. Changes to These Terms
We may update these Terms from time to time. We’ll notify you of significant changes via email or in-app notice. Continued use of the Platform after changes take effect constitutes acceptance of the new Terms.
